Just be honest. Tell her that you want to continue to be friends but you want to cut out the sex. That is what you are obligated to tell her. As far as a friend goes...I wouldn't bring up your new "thing" until perhaps it progresses...There's no reason to hurt her feelings for someone that you're not in a romantic relationship. If it blossoms into that then at some point you're likely going to want to at least let her know that you're seeing someone....but that's not necessary up front as you're are friends with benefits which kind of eliminates the needs for explanations.
I think the best approach may be that you're interested in dating someone and to be fair to that relationship you don't think its right to continue to have sex with her. It will spare her feelings but also get the point across you don't want to have sex.
